第一条、合作项目和范围
甲乙双方本着互利互惠、共同发展的原则，经过友好协商，决定充分利用双方各自的优势，资源互补，在中国文化部门的经营范围内在电玩城的项目上进行合作(大型电子游戏机及动漫游戏机)。特订立本协议。（在签字处无论是公司名义或者是个人名义，在协议中都以电玩城的名称做为简称）
第二条、合作期限
自__________年____________月___________日起，至___________年____________月________________日止。合同期限为一年。
第三条、合作方式
乙方提供电玩城所需的电玩机器设备(所有设备归乙方所有)，在本协议中附加机器设备的名称及价格表。甲方提供营业场地(房屋，按照国家规定的标准)与相关部门的营业执照。甲方要按照机器价格的50%的风险保证金付给乙方，在协议期满后如果终止合同，甲方协助乙方把电玩设备返回，乙方退还甲方所交纳的风险保证金。如果协议期满后甲乙双方如继续合作重新签署续约合同。
第四条、利润分配
1、利润定义：利润为当天的营业额。
2、分配方式：甲方占90%乙方占10%的比例分成。营业额按满10000元后就按照双方所占有的比例分账。由甲方将乙方所占10%的利润分成汇进乙方财务部帐号。
第五条、责任
甲方责任
1 甲方必须遵守国家法律法规和明确了解当地电玩城的所有法规和制度，甲方负责经营管理。如甲方超范围经营所造成的损失由甲方负责。
2 甲方负责营业场所的房费和有关房屋的管理费、水电费、装修费及服务员的工资，所有相关部门的税收及外围的公关费用也由甲方承担，甲方提供乙方技术员的吃住问题，费用由甲方负责（也可以协商）。
3 甲方要处理好玩家各种争议工作。
4 甲方在处理客人的过程中所造成的损失由甲方承担。
5 甲方如果违规经营而被查处，或者与客人发生暴力冲突所产生的机器损坏或者没收，要照价赔偿乙方损失。
6 机器到达甲方所指定地点的运费由甲方承担。
7 甲方接货的时候要检查机器是否有破损，如有破损一定要第一时间通知乙方，甲乙双方共同找货站赔偿，如甲方没检查机器是否有破损，所造成的损失由甲方承担。
8 设备到达目的地后因甲方原因（如证件，关系不成熟等）而未能经营，其设备往返两地所产生的费用由甲方承担，甲方并按设备总投资的20%赔偿乙方。
乙方责任
1 乙方应充分发挥在动漫行业的专业管理技能，本着专业专心的服务风格和严谨认真的服务态度，全力做好经营管理，维护和维修工作。
2 乙方配两名店长(如有特殊情况甲乙双方协商)。工资由乙方承担。
3乙方负责机器设备的正常运转、技术维护、协助甲方策划各种大型活动的工作。
4 乙方负责机器的安装调试。
5 乙方负责机器的更换和调整。
6 协议到期后返回乙方的运费由乙方负责。
甲乙双方责任
1 甲乙双方都必须遵守电玩城的规章制度。
2 甲乙双方必须在平等互利的基础上处理自己份内的问题。有异议的地方双方负责人要及时沟通。必须在最短的时间解决问题。
3 在设备运营过程中，设备更新往来的运费由双方从营业额中共同承担。
4 双方工作人员在上班期间禁止玩机器，即使下班也不可以玩推币系列的设备。
5若本合同期两年内甲方提供的经营场所因不可抗力而影响场地继续经营时（如政府征用），由甲乙双方共同协商解决后续合作事宜。
6电玩城在营业中杜绝赊分欠款，如发生赊分欠款的现象，当日结帐时此款项谁答应承担的则由谁承担。贵宾卡及炒场赠分由甲乙双方人员共同监督管理执行。
7甲乙双方各指定一名股东代表协调重大决策，并保持良好的沟通平台，保证双方了解经营动态，及时调整经营方案。其它股东意见一律只能通过股东代表的传达，才可以有效。并指定专门人员负责财务的交接工作（财务工作包括每日营业数据、报表的传送传真，营业分成款及其他款项往来）。
第六条、违约责任
甲乙双方各自承担合作任务，若任何一方违约而给对方造成经济损失或名义损害，违约方承担全部赔偿责任。(主要是合作期限，在合作期限不满之前如甲方违约就必须退还机器，保证金不予退还。如乙方违约，甲方有权不退还机器。)
第七条、保密条款
有关本次合作，甲乙双方提供的所有资料只能用于本电玩城的业务，甲乙双方应将对方提供的资料视为机密文件，不准在同行业中散播。
